TERMS OF SERVICES

Please read these terms carefully before engaging Wampdo's services.

These Terms of Service ("Terms") are between Wampdo, operated according to Wampdo LLC, a Wyoming limited liability company ("Wampdo," "we," "us," or "our") and any client who is taking our services ("Client," "you").

By requesting a quote, signing a proposal, or making payment to Wampdo, you agree to the following terms.

1. Services

Wampdo offers services including Web Development, CMS Solutions, UI/UX Design, Software Development, Graphic Design, E-Commerce Development, Digital Marketing, AI Services, and Managed Web Services, as agreed in the project proposal or statement of work ("SOW").

2. Project Duration & Amendments

All work will be delivered according to the scope defined in the signed proposal or SOW. Reasonable revisions within that scope are included. Requests outside the agreed scope will be quoted separately and may affect delivery timelines.

3. Payment Terms

Unless otherwise agreed in writing, one-time projects require 50% payment in advance before the beginning of a project, with the remaining 50% due upon completion and before final delivery of files or credentials. Managed Web Services, Digital Marketing retainers, and AI Services support plans are billed monthly or annually in advance, in USD.

4. Service-Specific Terms

Web Development, CMS Solutions & Software Development

Delivered per agreed milestones. Client is responsible for securing login credentials, backups, and hosting environment after handover. Wampdo is not liable for any lost information after handover, or issues from third-party hosting, plugins, or platform updates outside our control.

UI/UX Design & Graphic Design

Final designs are delivered in agreed file formats after client approval. Once approved, further alterations are charged as additional work.

E-Commerce Development

Payment gateway, shipping, and inventory integrations depend on third-party platforms; Wampdo is not responsible for outages or policy changes by these providers.

Digital Marketing

SEO, SMM, PPC, and content strategy services are performed on a best-efforts basis. Wampdo does not guarantee specific rankings, ad performance, or revenue outcomes. Social media marketing and paid advertising campaigns (SMM/PPC) require 100% payment in advance before any campaign is launched, due to third-party ad spending being committed upfront.

AI Services

Custom AI/automation solutions are built and tested against agreed use cases. Client is responsible for reviewing AI-generated outputs before relying on them in final use.

Managed Web Services

Ongoing maintenance, hosting, and support are provided in a separate recurring agreement and are not included in one-time project pricing unless explicitly stated.

5. Post-Delivery Support & Training

One-time projects include up to 30 days of post-delivery support for issues related to the agreed specifications. Support beyond this period requires a Managed Web Services or maintenance agreement. For CMS Solutions and Software Development projects, Wampdo provides up to one cumulative week of training on the operation of the delivered website or software, if requested by the Client.

6. Intellectual Property

Upon full payment, Client owns all rights to final deliverables created specifically for their project. Wampdo retains the right to reuse general components, techniques, and non-client-specific code/designs in other projects, and may display completed work in its portfolio unless Client requests otherwise in writing.

7. Confidentiality

Wampdo will not disclose Client's confidential business information, data, or project details to third parties without consent, except as required by law.

8. Limitation of Liability

Wampdo's total liability for any claim is limited to the amount paid by the client for the specific service in question. Wampdo is not liable for indirect, incidental, or consequential damages, including lost profits, lost rankings, or data loss, except where such liability cannot be excluded by law.

9. Cross-Browser Compatibility

By using current versions of well-supported content management systems and frameworks, Wampdo endeavors to ensure that websites and applications we build are compatible with all current web browsers, including the most recent versions of Chrome, Firefox, and Safari.

Third-party extensions or plugins, where used, may not have the same level of support across all browsers; where appropriate, Wampdo will substitute alternative solutions on a best-effort basis where incompatibility is found.

10. Termination

Either party may terminate an active engagement with written notice if the other party materially breaches these terms and fails to remedy the breach within 7 days of notice. Fees for work completed up to the termination date remain payable.

11. Governing Law

These terms are governed by the laws of the State of Wyoming, USA, without regard to conflict-of-law principles. Nothing in this section limits any mandatory consumer protection rights you have under the laws of your own country or region, including the EU, UK, or UAE.

12. International Clients

Wampdo serves clients in Canada, the United States, the European Union, the United Kingdom, and the United Arab Emirates. Where local law grants you rights that cannot be waived by contract, those rights remain unaffected by these terms.

13. Arbitration / Dispute Resolution

Any dispute, controversy, or claim arising out of or relating to these terms or a client engagement shall first be attempted to be resolved through good-faith negotiation between the parties within 30 days of written notice of the dispute.

If the dispute is not resolved through negotiation, it shall be settled by binding arbitration administered in the State of Wyoming, USA. Where binding arbitration is not permitted or enforceable under a Client's local law, the parties agree that the state and federal courts located in Wyoming, USA shall have exclusive jurisdiction and venue over the dispute. This clause does not limit any non-waivable rights the Client may hold under mandatory consumer protection law in their own country or region, including the EU, UK, or UAE.
